Welcome to VoiceTotal. By accessing or using our services (the “Service”), you agree to these Terms & Conditions (“Terms”). If you don’t agree, please discontinue use immediately.

1. Parties & Acceptance

You (“User” or “Customer”) agree to these Terms when you register, use our website, or access the Service. VoiceTotal (a product of Seoplana LLC) may update these Terms with 30 days’ notice. Notice of changes will be provided via email and website posting. Continued use after the effective date indicates acceptance.

Age Requirement: You must be at least 18 years old. If using the Service for a business, you represent that you have authority to bind that organization.

2. Service Description

VoiceTotal offers virtual local phone numbers, call forwarding, inbound call tracking, routing, analytics, dashboards, and related telecommunications features. Call recording is not yet active but may be offered in a future version with appropriate notice and consent mechanisms.

Service Availability: While we target 99.9% uptime, Services are provided “as available” and may be subject to scheduled maintenance, carrier limitations, or force majeure events.

3. User Obligations & Acceptable Use

Your Responsibilities:

• Provide accurate registration information and keep it current
• Maintain confidentiality of passwords and account security
• Use Services only for lawful business purposes
• Comply with all applicable telecom, privacy, and data protection laws
• Immediately notify us of any unauthorized access or security breaches

Prohibited Uses – You may NOT use our Service to:

• Violate any laws, regulations, or third-party rights
• Send spam, robocalls, or unsolicited communications
• Engage in fraudulent, deceptive, or misleading practices
• Transmit harmful, offensive, or inappropriate content
• Interfere with or attempt unauthorized access to our systems
• Use the Service for emergency services (911/999) routing
• Violate TCPA, CAN-SPAM, or other telecommunications regulations
• Record calls without proper legal consent and notice (when feature is available)

Compliance: You must comply with all applicable laws including TCPA, GDPR, CCPA, HIPAA (if applicable), and call consent requirements in your jurisdiction.

4. Call Recording (Future Feature)

When call recording becomes available:

• User Control: Recording will be opt-in at account or phone number level
• Legal Notice: Automated notifications will inform callers (“This call is being recorded…”)
• Consent Compliance: You are responsible for obtaining all required legal consents under applicable one-party or two-party consent laws
• Data Handling: Recordings will be encrypted, stored securely, and retained per your service plan (typically 12 months)
• Your Responsibility: You remain the data controller and are responsible for all legal compliance

5. Billing & Pricing

• Payment Terms: Services are subscription-based, billed monthly in advance. Payment is due immediately upon invoice.
• Failed Payments: Service may be suspended after 5 business days for non-payment
• Cancellation: Must be submitted at least 5 business days before the next billing cycle
• Refunds: New customers may request refunds within 30 days for confirmed technical issues. No prorated refunds after billing cycle begins.
• Taxes: You are responsible for all applicable taxes and fees
• Price Changes: We may modify pricing with 30 days’ advance notice via email to your registered address and prominent notice in your account dashboard

6. Termination

• By You: Cancel anytime with 5 business days’ notice before next billing cycle
• By Us: We may suspend or terminate immediately for Terms violations, illegal activity, or non-payment (after cure period)
• Effect: Upon termination, access ceases immediately, all fees become due, and your data will be deleted per our retention schedule
• Survival: Provisions regarding liability, indemnification, IP, and confidentiality survive termination

7. Intellectual Property

• Our Rights: All IP rights in the Service (software, algorithms, branding, documentation) belong exclusively to Seoplana LLC and our licensors
• Your License: You receive only a limited, non-exclusive, non-transferable license to use the Service as permitted
• Restrictions: You may not copy, modify, reverse-engineer, resell, or create derivative works from any part of the Service
• Your Data: You retain ownership of your data but grant us necessary rights to provide the Service

8. Privacy & Data Protection

• Compliance: Seoplana LLC complies with GDPR, CCPA, and equivalent data protection laws
• Data Controller Responsibility: You remain the Data Controller for any customer or third-party data you collect through our Service, and are responsible for lawful collection, use, and consent
• Privacy Policy: Our separate Privacy Policy details data collection, use, and protection practices
• Data Security: We implement industry-standard security measures including encryption and access controls
• International Transfers: Data may be processed in various jurisdictions with appropriate safeguards
• Call Recording Data: When available, recordings will be handled with enhanced security and strict access controls

9. Disclaimers & Limitations of Liability

Disclaimers:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability:

EXCEPT WHERE PROHIBITED BY LAW:

• Our total liability for any claims is capped at the amount you paid in the 12 months prior to the claim
• We are not liable for indirect, special, consequential, or punitive damages
• We do not guarantee call quality, uptime, or compatibility with third-party systems
• We are not responsible for carrier limitations or telecommunications infrastructure issues

10. Indemnification

You agree to indemnify, defend, and hold Seoplana LLC and VoiceTotal harmless from any claims, damages, losses, and expenses (including attorney fees) arising from:

• Your misuse of the Service or violation of these Terms
• Your violation of applicable laws or third-party rights
• Unauthorized access to your account due to your negligence
• Your failure to obtain required consents for telecommunications or recording activities
• Content or data you provide or generate using the Service

11. Confidentiality

Each party agrees to:

• Keep confidential all non-public information of the other party
• Use confidential information solely to perform under these Terms
• Not disclose confidential information except as required by law or court order
• Return or destroy confidential information upon termination

12. Dispute Resolution & Governing Law

• Governing Law: These Terms are governed by the laws of Wyoming without regard to conflict of law principles
• Jurisdiction: Disputes will be resolved exclusively in the state and federal courts of Wyoming
• Limitation Period: Claims must be brought within one (1) year of when the claim arose
• Class Action Waiver: You agree to resolve disputes individually, not as part of a class action

13. General Provisions

Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control (natural disasters, government actions, internet outages, etc.).

Assignment

You may not assign this agreement without our written consent. Seoplana LLC may assign this agreement to affiliates or in connection with a merger, acquisition, or sale.

Severability

If any provision is found unenforceable, the remainder of these Terms remains in full effect.

Entire Agreement

These Terms, our Privacy Policy, and any Order Forms constitute the complete agreement and supersede all prior agreements.

Notices & Electronic Communications

We may provide notices via email to your registered address or through the Service interface. By using our Service, you consent to receive all communications, agreements, documents, receipts, notices, and disclosures electronically. You agree that electronic communications satisfy any legal requirement for written communications.

Waiver

Our failure to enforce any provision does not waive our right to enforce it later.
